Terms of Service
These terms set out the conditions for using Tomopact and the responsibilities of users and the operator.

1. Scope and operator
These terms apply to everyone using Tomopact (the Service), provided by 合同会社Stratum Flow (Stratum Flow, the Company). Users agree to these terms before using the Service. Where a separate agreement conflicts with these terms, that agreement takes precedence for the conflicting provisions.
2. What the Service provides
The Service helps users share and manage conditions, schedules, discussions, approvals, tasks, attachments, and their history within workspaces and cases. The Company is not a party, agent, or intermediary to transactions between users.
Approvals and agreements shown in the Service record actions taken by a signed-in account. The Company does not guarantee contract formation or legal enforceability, a signer's authority, deliverable quality, payment, or timely performance. Users must separately complete any signatures, identity checks, or recordkeeping required by law for their transactions.
3. Accounts and authority
Users must provide accurate registration information and protect their email accounts, passwords, and authentication methods. Sharing or transferring accounts and impersonating others are prohibited. Contact the Company promptly if you discover unauthorized use.
Anyone entering agreements, changing settings, or issuing invitations on behalf of an organization must have authority to do so. Minors must obtain their legal guardian's consent. Workspace administrators manage members, invitees, notification destinations, and access rights, and must review what information is visible to recipients.
4. User content and sharing
Users or the rightful owners retain rights to information they enter or upload. Users authorize the Company to process content as needed to provide the Service, store and display it according to permissions, send notifications, and create backups. Obtain the necessary authority and consent before submitting third-party personal or confidential information.
Sharing with participants and notifications by email, Slack, Teams, or other connected services follow the selected settings and user actions. The Company cannot recall delivered content or copies obtained by participants. Shared history, including author names and approvals in cases used by others, may remain after an account is deleted.
5. Fees, renewals, and plan changes
Paid plan prices, taxes, allowances, billing cycles, and effective dates are those shown in the application and final payment confirmation screens. Initial subscriptions are purchased through Stripe; subsequent changes, cancellation, and payment methods are managed through the relevant workspace's billing screen. Free use is not converted to a paid subscription without the user's authorization.
Recurring subscriptions renew each billing period until canceled. Price adjustments and the timing of plan changes follow the confirmation screen for that change. Reducing allowances does not by itself delete existing cases or files, but additions and other operations may be restricted until usage is within the new allowances.
6. Cancellation, refunds, and deletion
Ordinary cancellation takes effect at the end of the billing period, and the subscribed plan remains available until then. Cancellation does not automatically delete a workspace or account. Workspace deletion entails the billing and data deletion consequences shown on screen; review them before proceeding.
As a rule, no prorated refund is provided for cancellation during a period or non-use for the user's own reasons. This does not limit refunds required by law, duplicate or incorrect charges, or refunds otherwise approved by the Company. Contact support about billing issues.
Retention, deletion, recovery requests, archiving, and backups follow the Data Management Policy. Preserve any records you need before deletion. Recovery depends on identity and authority checks and the retained data; restoration is not guaranteed.
7. Prohibited conduct
Illegal acts, infringement, fraud, false statements, harassment, uploading unlawful content or malware, unauthorized access, exploiting vulnerabilities, circumventing authentication or allowances, excessive traffic that disrupts the Service, unauthorized resale, and providing benefits to organized criminal groups are prohibited. Do not put sensitive personal information or card numbers in cases when they are unnecessary for using the Service.
8. Suspension, changes, and termination
The Service may be suspended or restricted for maintenance, failures, disasters, third-party outages, or security. The Company may suspend or terminate accounts or subscriptions as necessary for violations, misuse, or nonpayment. Except in emergencies, we will provide reasons and response options where practicable.
Where practicable, material changes or discontinuation will be announced in advance through the Service or registered email, with guidance for preserving data. Effects on paid subscriptions will be handled under applicable law and contract terms.
9. Liability
The Company provides the Service with reasonable care but does not guarantee uninterrupted or error-free operation, suitability for a particular business, or resolution of disputes between users. Users must review conditions, schedules, and the content they approve, and remain responsible for their business decisions and transactions.
For the Company's ordinary negligence, compensation is limited to direct, ordinary damages and capped at the fees the Company received under the affected subscription in the preceding 12 months. These limits do not apply to willful misconduct, gross negligence, or liability that applicable law, including consumer contract law, does not permit us to limit.
10. Changes and governing law
Changes to these terms will be notified through the Service or registered email, stating the changes, effective date, and any required action. Changes will follow applicable law, with renewed agreement when necessary. Use may be restricted while a required review and acceptance of an updated version is pending.
These terms are governed by Japanese law. Unless applicable law requires otherwise, the courts with jurisdiction over the Company's registered address have exclusive jurisdiction at first instance over disputes concerning the Service. Where the Japanese and English versions differ, the Japanese version prevails to the extent permitted by law.
